Pulse AI — AI Workplace IZA NOIR LLC

1. Introduction and Acceptance

Welcome to Pulse AI ("Service," "Software," or "Product"), an AI-powered workplace productivity extension developed and operated by IZA NOIR LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms," or "Agreement") govern your access to and use of Pulse AI, including all features, functionality, content, and services offered through the Software.

By downloading, installing, accessing, or using Pulse AI, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Software.

If you are using Pulse AI on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. In that case, "you" refers to both you and the organization.

2. Definitions

"Agent" or "AI Agent" means an automated process configured within Pulse AI that executes tasks, generates content, or performs actions in the user's development environment based on defined roles, schedules, and prompts.
"Automation" means any scheduled, trigger-based, or manually dispatched workflow executed by Pulse AI, including workday dispatch, sprint orchestration, and cron-based scheduling.
"Board" means the project management interface within Pulse AI, including Kanban, Table, Calendar, Matrix, and Timeline views.
"Bridge" or "Clawdbot Bridge" means the integration layer connecting Pulse AI with external AI assistant platforms.
"Content" means any data, text, files, prompts, configurations, roles, board items, automations, or other materials you create, upload, or store through Pulse AI.
"Skill" means a modular capability, extension, or plugin available through the Pulse AI Skill Library.
"Skill Library" means the curated, controlled marketplace of Skills reviewed and approved by Pulse AI.
"Subscription" means the paid or free tier license granting you access to Pulse AI's features.
"Workspace" means the local project environment where Pulse AI operates.

3. Eligibility

3.1 Age Requirements

You must be at least 18 years of age (or the age of legal majority in your jurisdiction) to use Pulse AI. If you are between 13 and 18 years of age, you may use Pulse AI only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms. Pulse AI is not intended for use by children under 13 years of age, and we do not knowingly collect personal information from children under 13.

3.2 Account Requirements

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify IZA NOIR LLC of any unauthorized use of your account.

3.3 Compliance with Laws

You represent and warrant that your use of Pulse AI complies with all applicable local, state, national, and international laws and regulations.

4. Description of Service

4.1 What Pulse AI Does

Pulse AI is a VS Code extension (operating within compatible IDE environments) that provides:

AI Agent Management: Define, configure, and deploy AI agents with specific roles, responsibilities, and operational boundaries.
Project Board: Organize work using multiple view types (Kanban, Table, Calendar, Matrix, Timeline) with sprint management, filtering, and priority tracking.
Workday Automation: Schedule and dispatch AI agents to work on assigned tasks during configurable workday periods.
Sprint Orchestration: Plan, execute, and monitor time-boxed work sprints with automated task dispatch.
Skill Library: Access a curated library of approved skills that extend Pulse AI's capabilities.
Organizational Structure: Define roles, teams, departments, and organizational hierarchy for AI agents.
Bridge Integration: Connect with external AI platforms through the Clawdbot Bridge API.
Analytics and Insights: Track productivity metrics, sprint progress, and team performance.

4.2 What Pulse AI Does Not Do

Pulse AI does not:

Guarantee any specific outcome from AI agent actions.
Provide legal, financial, medical, or professional advice through AI agents.
Execute code in production environments without explicit user authorization.
Access systems or services beyond those explicitly configured by the user.
Store or transmit your source code to Company servers (Pulse AI operates locally).

5. Subscription Tiers and Billing

5.1 Subscription Plans

Pulse AI is offered under the following subscription tiers:

Feature availability varies by tier. The Explorer tier provides limited functionality; paid tiers provide access to all premium features with varying credit allotments. Founding Member tiers provide unlimited credits forever. Current feature comparisons are available at pulse-ai.dev/pricing.

5.2 Free Tier

The Explorer tier is free and provides access to core features with usage limits (100 credits/month). No credit card is required for the Explorer tier. The Explorer tier may have limitations on the number of role slots and automation capabilities.

5.3 Paid Tiers

Paid subscriptions are billed in advance on a monthly or annual basis. Annual subscriptions are billed as a single payment at the beginning of the subscription period. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. Founding Member deals are one-time payments granting lifetime access with unlimited credits.

5.4 Price Changes

We reserve the right to change our pricing at any time. If we change pricing for a plan you are currently subscribed to, we will provide at least 30 days' advance notice before the new pricing takes effect. Continued use of the Service after the new pricing takes effect constitutes acceptance of the new pricing. Lifetime licenses are not subject to future price increases.

5.5 Payment Processing

Payment is processed by our third-party payment provider (currently Stripe). Your payment information is handled directly by the payment provider and is not stored by IZA NOIR LLC. By subscribing, you agree to the payment provider's terms of service.

5.6 Taxes

All fees are exclusive of applicable taxes (including sales tax, use tax, VAT, GST, or similar). You are responsible for all applicable taxes, and the payment provider may collect and remit taxes as required by law.

5.7 Lifetime Tier Services & Infrastructure Migration

Lifetime licenses grant perpetual access to the Pulse AI software and its core orchestration features as they exist today, which rely on Bring-Your-Own-Key (BYOK) or third-party APIS for AI inference. Should IZA NOIR LLC, at any point in the future, transition to hosting its own proprietary AI inference infrastructure (e.g., hosted models, GPU compute clusters) that incurs ongoing per-generation or compute costs, the Lifetime license does not automatically include unlimited access to this new hosted inference infrastructure. In such an event, Lifetime users will be guaranteed the right to either: (a) retain unlimited perpetual access to the original BYOK/local-model architecture, or (b) receive a reasonable base allocation of hosted infrastructure credits with the option to purchase additional compute at market rates. The core software license itself remains strictly perpetual.

5.8 Definition of "Lifetime"

For the purposes of the "Lifetime" subscription tier, "lifetime" refers to the commercial lifetime of the Pulse AI product and service, not the lifetime of the purchasing individual or entity. In the event that IZA NOIR LLC ceases operations, or officially discontinues the Pulse AI service, the lifetime license will terminate, and no pro-rata or partial refunds will be issued upon such termination.

5.9 One-Time Credit Purchases

In addition to subscriptions, users may purchase "Credit Stashes" or other one-time credit allocations. All purchases of one-time credits are final and non-refundable, except where required by applicable law. Unused credits carry over indefinitely as long as your account remains active, but they have no cash value and cannot be exchanged for currency. Upon account termination for any reason, all unused credits are forfeited (see Section 12.3).

6. Acceptable Use Policy

6.1 Permitted Use

You may use Pulse AI for personal and commercial purposes in accordance with your Subscription tier and these Terms. This includes:

Managing personal or professional projects.
Configuring and deploying AI agents for legitimate development workflows.
Creating automations to improve productivity.
Using the Board for project and task management.

6.2 Prohibited Use

You agree not to use Pulse AI to:

Violate any law or regulation, including export control laws.
Generate, distribute, or facilitate harmful, abusive, harassing, threatening, or defamatory content.
Attempt to gain unauthorized access to any systems, networks, or accounts.
Reverse engineer, decompile, disassemble, or attempt to derive the source code of Pulse AI.
Copy, modify, distribute, sell, sublicense, lease, or transfer the Software or any portion thereof.
Circumvent any access restrictions, usage limits, or security measures.
Use AI agents to perform actions that would be illegal if performed by a human.
Spam, phish, or engage in social engineering through Pulse AI's AI agents or automations.
Benchmark or perform competitive analysis of Pulse AI without written consent.
Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
Use Pulse AI to develop a competing product or service — including but not limited to AI-powered IDE extensions, AI agent orchestration platforms, or AI workplace productivity tools that are substantially similar in function to Pulse AI.
Overload or disrupt the Service through excessive automated usage beyond normal operation.

6.3 Enforcement

We reserve the right to investigate and take appropriate action against violations of this Acceptable Use Policy, including warning, suspension, or termination of your account and Subscription.

7. AI Agent Usage Terms

7.1 User Responsibility

You are solely responsible for:

The configuration, prompts, and instructions you provide to AI agents.
Reviewing and approving actions taken by AI agents before they affect your codebase or systems.
Any consequences resulting from AI agent actions in your development environment.

7.2 No Guarantee of Accuracy

AI agents may produce inaccurate, incomplete, or inappropriate output. AI-generated content, code, and actions are provided "as-is" without any guarantee of correctness, safety, or fitness for any purpose. You should always review AI agent output before relying on it.

7.3 Liability for AI Actions

IZA NOIR LLC is not responsible for any damage, data loss, code corruption, or other harm resulting from actions performed by AI agents configured in Pulse AI. AI agents operate based on instructions you provide and within the context of your local environment. You assume all risk associated with AI agent usage.

7.4 AI Agent Limitations

AI agents within Pulse AI:

Operate within the permissions and boundaries of the host IDE environment.
Do not have independent access to the internet, external APIs, or services beyond those explicitly configured.
Are subject to the capabilities and limitations of the underlying AI models.
May be rate-limited or restricted based on your Subscription tier.

8. Skill Library Terms

8.1 Controlled Access

The Skill Library is a curated, controlled marketplace. Skills are reviewed and approved by Pulse AI before publication. Users may not submit, upload, or distribute Skills without the Company's express authorization.

8.2 Skill Vetting

All Skills undergo security and quality review before approval. However, the Company does not guarantee that any Skill is free from vulnerabilities, bugs, or unintended behavior. Use of any Skill is at your own risk.

8.3 Skill Licensing

Each Skill in the Skill Library may have its own licensing terms in addition to these Terms. By installing or using a Skill, you agree to comply with its specific license terms. In the event of a conflict between Skill-specific terms and these Terms, these Terms shall control.

8.4 Removal of Skills

The Company reserves the right to remove, disable, or modify any Skill from the Skill Library at any time for security, quality, legal, or other reasons, with or without notice.

9. User Content and Data

9.1 Your Content

You retain ownership of all Content you create through Pulse AI, including board items, roles, automations, prompts, and configurations. Pulse AI operates locally, and your Content is stored in your local workspace filesystem.

9.2 License Grant

By using Pulse AI, you grant IZA NOIR LLC a limited, non-exclusive, royalty-free license to process your Content solely as necessary to provide, improve, and support the Service. This license does not extend to selling, sharing, or using your Content for any purpose other than operating the Service.

9.3 Content Responsibility

You are solely responsible for your Content and ensuring that it does not violate any third-party rights, applicable laws, or these Terms.

9.4 Data Portability

Your Content is stored locally in standard file formats (Markdown, JSON, YAML). You may export, back up, or transfer your Content at any time using standard file system operations.

10. Intellectual Property

10.1 Company IP

Pulse AI, including its source code, design, documentation, branding (including the name "Pulse AI" and associated logos and marks), and all related intellectual property, is and remains the exclusive property of IZA NOIR LLC. Nothing in these Terms grants you any right, title, or interest in our intellectual property, except the limited right to use the Software in accordance with your Subscription.

10.2 Feedback

If you provide IZA NOIR LLC with any feedback, suggestions, or ideas regarding Pulse AI ("Feedback"), you grant IZA NOIR LLC an irrevocable, perpetual, royalty-free, worldwide license to use, modify, and incorporate such Feedback into its products and services without any obligation to you.

10.3 Trademarks

"Pulse AI" and associated logos are trademarks of IZA NOIR LLC. You may not use these marks without prior written permission except as necessary to accurately refer to the Product.

11. Third-Party Integrations

11.1 Bridge and External Services

Pulse AI may integrate with third-party services through various integration mechanisms. Your use of third-party services is governed by their respective terms and conditions. IZA NOIR LLC is not responsible for the availability, security, or functionality of third-party services.

11.2 Third-Party Data Sharing

When you use third-party integrations, data may be shared between Pulse AI and the third-party service as necessary for the integration to function. You are responsible for understanding and consenting to any data sharing that results from your use of integrations.

11.3 Disclaimer

IZA NOIR LLC makes no representations or warranties regarding third-party services, including but not limited to Supabase, Antigravity, or any AI model provider. Third-party services are provided "as-is."

12. Termination

12.1 By You

You may terminate your Subscription at any time by canceling through the payment provider. Upon cancellation of a paid subscription, you will retain access to paid features through the end of your current billing period, after which your account will revert to the Explorer (free) tier.

12.2 By Us

We may suspend or terminate your access to Pulse AI at any time if:

You violate these Terms.
You fail to pay subscription fees when due.
We are required to do so by law.
We discontinue the Service (with reasonable advance notice).

12.3 Effect of Termination

Upon termination:

Your right to use paid features ceases (you retain Explorer tier access unless terminated for cause).
Any unused credits in your account are forfeited and have no refund value.
Your Content remains on your local filesystem and is not deleted by the Company.
Provisions of these Terms that by their nature should survive termination will survive, including intellectual property rights, limitation of liability, and dispute resolution.

13. Warranties and Disclaimers

13.1 "As-Is" Basis

PULSE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IZA NOIR LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY — that the Software is fit for commercial use.
FITNESS FOR A PARTICULAR PURPOSE — that the Software will meet your requirements.
NON-INFRINGEMENT — that the Software does not infringe any third-party rights.
ACCURACY — that AI-generated content or agent actions are accurate, complete, or reliable.
UNINTERRUPTED OR ERROR-FREE OPERATION — that the Software will operate without interruption or errors.

13.2 Beta Features

Certain features may be designated as "beta," "preview," or "experimental." These features are provided for evaluation purposes and may be incomplete, contain bugs, or be discontinued at any time. Beta features are provided without any warranty.

14. Limitation of Liability

14.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IZA NOIR LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including but not limited to loss of profits, loss of data, loss of goodwill, business interruption, or any other intangible losses.
DAMAGE TO CODE, SYSTEMS, OR PROJECTS resulting from AI agent actions, automations, or Skill execution.
LOSSES ARISING FROM THIRD-PARTY INTEGRATIONS or services accessed through Pulse AI.

14.2 Cap on Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IZA NOIR LLC'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF PULSE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO IZA NOIR LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS (US $50.00).

14.3 Essential Purpose

THE LIMITATIONS AND EXCLUSIONS IN THIS SECTION APPLY REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF IZA NOIR LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THESE LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND IZA NOIR LLC.

15. Indemnification

You agree to indemnify, defend, and hold harmless IZA NOIR LLC and its officers, directors, employees, agents, and affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use of Pulse AI.
Your Content.
Your violation of these Terms.
Your violation of any rights of a third party.
Actions performed by AI agents configured by you.

16. Dispute Resolution

16.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

16.2 Informal Resolution

Before filing any formal legal action, you agree to first attempt to resolve any dispute informally by contacting IZA NOIR LLC at legal@pulse-ai.dev. We will attempt to resolve the dispute through good-faith negotiation for at least 30 days.

16.3 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

16.4 Class Action Waiver

YOU AND IZA NOIR LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

16.5 Small Claims Court

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

17. Modifications to Terms

17.1 Right to Modify

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

Updating the "Last Updated" date at the top of these Terms.
Posting a notice within the Pulse AI interface.
Sending an email to the address associated with your account (for material changes).

17.2 Acceptance of Modified Terms

Your continued use of Pulse AI after the effective date of any modification constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using Pulse AI and cancel your Subscription.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy and End User License Agreement, constitute the entire agreement between you and IZA NOIR LLC regarding your use of Pulse AI.

18.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

18.3 Waiver

The failure of IZA NOIR LLC to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

18.4 Assignment

You may not assign or transfer these Terms without IZA NOIR LLC's prior written consent. IZA NOIR LLC may assign these Terms without restriction.

18.5 Force Majeure

IZA NOIR LLC shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, strikes, government actions, or internet outages.

18.6 Notices

All notices to IZA NOIR LLC should be sent to legal@pulse-ai.dev unless we provide a specific postal notice address in writing. Notices to you will be sent to the email address associated with your account.
